Operator: Services offered through NamedClearly and related experiences (“NamedClearly,” “we,” “us,” or “our”) are operated in connection with NamedClearly technology. The website, applications, and related services are referred to together as the “Service.”
By accessing or using the Service, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
The Service is a digital personal growth and relationship support platform. It may include, among other things: journaling and reflections, goals and check-ins, educational and skill-building exercises, AI-assisted chat and tools, couples-related features where available, optional practice or telehealth-related features for professionals, and structured questionnaires or profiles (for example, schema-related or similar inventories) intended for self-reflection and psychoeducation.
The Service is not medical care, psychotherapy, or clinical mental health treatment and does not create a provider–patient relationship with us. Nothing on the Service is a diagnosis or a substitute for care from a qualified licensed professional. NamedClearly is not a HIPAA-covered entity for the member Service and does not represent the member offering as HIPAA-compliant. Where the Service offers questionnaires, scores, charts, or reports:
You must be able to form a binding contract in your jurisdiction. If the Service requires an account, you agree to provide accurate information, safeguard your credentials, and notify us of unauthorized use. You are responsible for activity under your account.

AI is not a substitute for professional judgment or care.
Where we offer controls for use of data in model improvement, those controls are described in the Privacy Policy. Withdrawal of consent does not undo prior use that already occurred as described there.
Member / consumer use: The member Service (website, PWA, and consumer store apps) is not offered as a HIPAA-compliant product. Do not rely on HIPAA safeguards for member accounts unless you have a separate written agreement with us that explicitly says otherwise.
Practice or professional use: If you use practice-oriented features and a separate BAA or professional agreement applies between you and us, that agreement governs PHI for those features. You remain responsible for lawful use, consents, and professional standards. See Compliance only if we have made BAA materials available to you under contract.
Where you use practice management, documentation, scheduling, billing, or similar features:
Some features may be free; others may require payment or subscription. Fees, renewal, and cancellation are presented at purchase or in account settings. Taxes may apply where required.
The Service, including software, text, graphics, logos, and branding (except your content and third-party materials), is owned by us or our licensors. You receive a limited, non-exclusive, non-transferable license to use the Service for personal or, if applicable, authorized professional use. You retain ownership of content you submit; you grant us a license to host, process, and display it as needed to operate and improve the Service, consistent with our Privacy Policy.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE.
We do not warrant uninterrupted or error-free operation or that the Service will meet your requirements.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted.
You will defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of others’ rights, except to the extent caused by our gross negligence or willful misconduct.
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, or we discontinue the Service (with reasonable notice where practicable). Provisions that by their nature should survive will survive termination.
We may update these Terms. We will post the revised Terms and update the “Last Updated” date. For material changes, we may provide additional notice (for example, email or in-app message). Continued use after the effective date constitutes acceptance unless applicable law requires otherwise.
The Service may include third-party software or services. Their terms govern those components. We are not responsible for third-party services you access through links or integrations.
We implement security and compliance measures appropriate to the Service. References to frameworks or certifications (for example, HIPAA-aligned controls, future SOC 2 or other audits) describe our direction and practices and do not guarantee a particular audit status, certification, or outcome unless we state otherwise in a separate written agreement.

These Terms are governed by the laws of the State of Iowa, United States, without regard to conflict-of-law rules. You agree that state and federal courts located in Iowa have exclusive jurisdiction for disputes arising from these Terms or the Service, subject to applicable law that cannot be waived.
These Terms, together with the Privacy Policy, Cookie Policy, and any BAA or other written agreement you enter with us for professional or PHI-related use, form the entire agreement regarding the Service and supersede prior oral or written understandings on that subject.
